Why Toms Capital wants Devon Energy to consider a sale

Devon Energy (DVN) shares are pushing higher this morning following reports that activist hedge fund Toms Capital Management is urging the oil and gas producer to explore strategic alternatives, including an outright sale.

Toms Capital is now one of the five largest DVN shareholders; its disclosure marks a “dramatic” escalation in investor pressure following the company’s merger with Coterra Energy, which closed last May.

Including today’s gains, Devon Energy stock is up roughly 30% versus the start of this year (2026).

Why Devon Energy should consider a sale

Partnering with prominent litigator Alex Spiro, Toms Capital contends that Devon’s post-merger portfolio – spanning the Delaware Basin in the Permian alongside assets in the Marcellus, Eagle Ford, and Powder River basins – suffers from undue operational complexity.

The activist hedge fund argues this multi-basin structure contributes to a valuation discount of at least one multiple point relative to peers, a significant gap given the stock trades at roughly 4.5 times 2027 estimated EBITDA.

By urging Devon to pursue an outright sale, Toms Capital aims to shift asset divestment execution risks away from current shareholders to a potential strategic buyer.

Note that DVN stock is testing its 20-day moving average (MA) at writing, with a clear break above the $48.60 level expected to accelerate bullish momentum in the near-term.

What a strategic review would mean for DVN shares?

A formal strategic review or an outright sale could unlock substantial immediate value for Devon Energy shareholders by forcing the market to price the company closer to the net asset value of its premium inventory.

DVN’s crown jewel remains its dense, low-cost holding in the Delaware Basin – an asset highly prized by major integrated oil companies seeking long-term inventory depth.

While volatility in global crude prices presents a potential headwind to deal negotiation, a strategic buyer could easily extract value by acquiring the whole company and subsequently divesting non-core basins like the Powder River or Marcellus.

Such M&A interest typically establishes a firm valuation floor, which would likely catalyze near-term upside for Devon shares.

How to play Devon Energy stock at current price?

Beyond short-term market momentum, DVN shares face compounding pressure from its broader institutional investor base, including energy specialist Kimmeridge, to disclose a clearer corporate trajectory.

While management previously prioritized scale through consolidation, activist intervention highlights growing shareholder fatigue with complex, diversified E&P portfolios.

Should Devon’s board resist a sale, it will likely be forced to accelerate internal asset sales, trim regional overhead, and funnel proceeds directly into aggressive share buybacks or variable dividends to narrow its trading discount.

Whether through a full buyout or a forced restructuring, the activist pressure signals that maintaining the status quo is no longer a viable option for Devon’s leadership.

Note that Wall Street currently rates DVN at Buy, with the mean price target of nearly $61 signaling potential upside of more than 25% from here.
