Anthropic pledges 5% of its shares before IPO: who really gets the money?

by October 19, 2026
written by October 19, 2026

Anthropic has pledged 5% of its shares to a new public benefit fund ahead of its anticipated stock market debut, potentially setting aside tens of billions of dollars in artificial intelligence wealth.

But the Claude developer has not identified who will receive that money, when distributions might begin or who will ultimately decide where the funds go.

Announced on Sunday, the proposal requires shareholder approval and could expand as Anthropic’s valuation rises. At its reported $965 billion valuation, the initial stake would be worth approximately $48 billion on paper.

Anthropic IPO: Will ordinary people get anything?

Anthropic says its fund could support established nonprofits or make direct distributions to selected groups. Workers displaced by AI are one potential priority, although the company has not named beneficiaries or promised cash payments.

It has already committed $200 million to studying and addressing disruption to employment, but that is separate from the new equity pledge.

The distinction matters, as financing research, charities and retraining programmes could benefit communities without giving individuals a direct claim on Anthropic’s growth.

Brad Gerstner, founder of Altimeter Capital, welcomed the commitment but raised concerns about wealth becoming concentrated in foundations.

“I hope a meaningful portion of AI’s wealth is a direct dividend,” Gerstner wrote, according to Business Insider on Monday.

For prospective beneficiaries, the unanswered question is whether support means a cheque, employment assistance or funding for institutions chosen by the company.

Who controls the billions?

Anthropic plans to house the shares in a wholly owned limited liability company, rather than a conventional charity. It says this approach offers flexibility to finance different kinds of public benefit.

Yet its announcement does not specify an independent governing board, distribution rules or a timetable for releasing funds.

There is also an incentive tied to Anthropic’s valuation. Its board may contribute another two percentage points of shares for every 50% increase above a baseline that remains undisclosed.

Gennaro Cuofano, founder of FourWeekMBA, argued in an analysis published on Sunday that “the open terms carry most of the weight”.

His concern centres on the missing baseline, future milestones and governance arrangements.

Anthropic says it will reveal further details in coming months. It has also ruled out using the fund’s shares for political donations or lobbying.

Separately, the company’s Long-Term Benefit Trust holds substantial influence over board appointments. That trust is distinct from the proposed fund, but adds to questions about how much control future public shareholders will have.

What does it mean for Anthropic IPO investors?

Those questions become more consequential as Anthropic prepares for a potentially record-breaking listing.

At a hypothetical $2 trillion valuation, a 5% stake would carry a paper value of $100 billion. Neither that valuation nor an equivalent cash payout is guaranteed.

Elon Musk, whose competing AI business gives him an obvious commercial interest, proposed a different approach.

“I recommend giving the shares directly to the public,” he wrote on X.

Investors must also assess whether the pledged shares will come from existing holdings or fresh issuance, which could dilute other owners.

Anthropic says roughly 20% of its equity is earmarked for public purposes once earlier founder and employee pledges are included. That does not mean 20% is going into this fund.

The proposal could channel enormous resources towards public causes, but the governance details will determine what the promise means in practice.

Until recipients, oversight and distribution rules are disclosed, Anthropic has specified the potential size of its generosity more clearly than who stands to benefit.
